Appointing a distributor in Estonia

Assess an Estonian distributor on three things: whether the company is verifiable in the Estonian Business Register, whether it operates storefronts you can open and inspect today, and whether it will accept price discipline, full-range coverage and Estonian localisation as written contract terms rather than verbal assurances.

We are an Estonian distributor, so read this page with that in mind. It is written as the checklist we would want a manufacturer to apply to us, and the same checks work on anyone else.

Verify the company first

Estonia publishes company data openly. Checking a prospective partner takes about two minutes and rules out a category of problem entirely.

Then ask to see the shelf

A distributor selling online has storefronts. Ask for the URLs and open them. Everything worth knowing is visible.

  1. Is the product copy written or translated? Open three products in the same range. If the descriptions are the same sentence with the specification numbers changed, the copy is generated. Look for size charts and comparison tables, which nobody generates by accident.
  2. Is the range deep or cherry-picked? Count SKUs in one category. A distributor that lists six products from a brand with sixty is testing, not distributing.
  3. What does the checkout offer? Bank-link payment and parcel locker delivery should both be there. If they are not, the storefront is not built for Estonian buyers.
  4. Are prices at the brand's RRP? Compare a few products against the brand's own site. This tells you what they will do with yours.
  5. Is there support contact in Estonian? A phone number and an email that a consumer can use.

Put the four things that matter in the agreement

Verbal assurance on these is worth nothing, and asking for them in writing costs a serious partner nothing to give.

Warning signs

  • They ask for exclusivity before they have sold anything.
  • They ask for special terms below your standard dealer price list for a first order.
  • They will not name the storefront where your products would appear.
  • They describe volumes or client counts they cannot evidence.
  • They want product images and specifications before there is any agreement about price or range.
  • The company register entry does not match the name on the email.

What a distributor should be asking you for

A partner who asks for nothing is not planning to do much. The list should be short and specific: a dealer price list and terms, a product data file, an image and specification licence, a decision on how orders are fulfilled and how fast you can dispatch, and a returns and warranty process. That is the same list we ask for.

Frequently asked questions

How do I check an Estonian company is real?

Look up the register code in the Estonian e-Business Register at ariregister.rik.ee. It is public and free. Check that the legal name, board members and founding date match what you were told, then validate the VAT number in the EU VIES system.

Should I grant exclusivity in Estonia?

Not at the start. Exclusivity is something to discuss after a year of numbers. A distributor who requires it before selling anything is asking you to take all of the risk.

What margin does an Estonian distributor expect?

Your standard dealer margin. A request for special terms below your existing dealer price list for one small market is a warning sign rather than a negotiation.

How do I stop a distributor from undercutting my other markets?

Write the RRP obligation into the agreement, with campaign pricing permitted only within a window and depth you approve. Then check periodically, which takes a minute because the storefront is public.

Who handles warranty claims?

The seller does. Under the Law of Obligations Act § 218(2) the seller is liable for a lack of conformity that becomes apparent within two years of delivery, and in a distribution arrangement the seller is the distributor.

What if I already have a Latvian or Lithuanian partner?

Say so early. Estonia can be covered separately, and a serious Estonian distributor will want to avoid cutting across an existing territory rather than pretend the issue does not exist.

How long does it take to get a range live?

The registrations take weeks. The Estonian copy scales with SKU count, at roughly 40 to 60 SKUs per week. A worked example is here.
